Welcome to LensMagic (the "Service"), operated by Lensmagic Inc ("Company," "we," "us," or "our"). By accessing or using the Service you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, please discontinue use immediately.

The Service allows users to create, manage, and distribute AI-generated or AI-enhanced content, including videos and images. You must be at least 18 years old to use the Service.

Eligibility: By using the Service you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding contract, and are not prohibited from using the Service under applicable law.

License: Subject to these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

2. REGISTRATION

To access certain features you may need to register for an account. You agree to provide accurate, current, and complete information and to update it as necessary.

Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately at support@lensmagic.ai if you suspect any unauthorised access.

Account Termination: We reserve the right to suspend or terminate your account at any time if you violate these Terms or for any other reason at our sole discretion, with or without notice.

3. RESPONSIBILITY FOR CONTENT

You are solely responsible for any content you submit, post, or display through the Service ("User Content"). You represent and warrant that you own or have all necessary rights to your User Content and that it does not violate any third-party rights or applicable law.

Prohibited Content: You may not submit content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable, including but not limited to:

• Content that infringes intellectual property rights
• Content that violates any person's privacy rights
• Sexually explicit material or content involving minors
• Malware, viruses, or other harmful code
• Spam, unauthorised advertising, or solicitation

Content Licence Grant: By submitting User Content you grant the Company a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, and distribute such content solely to operate and improve the Service.

4. OWNERSHIP

The Service and all its original content, features, and functionality are and will remain the exclusive property of Lensmagic Inc and its licensors. Our trademarks and trade dress may not be used without prior written permission.

AI-Generated Output: Subject to your compliance with these Terms, you own the output content generated by the Service at your direction. However, the underlying AI models, software, and systems remain the exclusive property of Lensmagic Inc.

5. USER CONDUCT & RESTRICTIONS

You agree not to use the Service in any way that is unlawful, harmful, or violates these Terms. You must not:

• Reverse-engineer, decompile, or disassemble any portion of the Service
• Use automated means to access the Service without our written consent
• Circumvent any security or access-control measures
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to generate deepfakes or misleading media without consent
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest user data without authorisation
• Use the Service for any commercial purpose not permitted by these Terms

6. MONITORING & REPORTING

We reserve the right, but not the obligation, to monitor User Content and usage of the Service. We may remove or disable access to any content that we determine, in our sole discretion, violates these Terms or applicable law.

If you believe any User Content violates your rights or these Terms, please report it to support@lensmagic.ai. We will review and take appropriate action.

7. USER INTERACTIONS

The Company is not responsible for the conduct of any user, online or offline. You are solely responsible for your interactions with other users. We reserve the right, but have no obligation, to monitor disputes between you and other users.

8. THIRD-PARTY SERVICES

The Service may contain links to third-party websites or services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party services you access.

9. PURCHASE TERMS & REFUNDS

All purchases through the Service are subject to our pricing and billing policies. Fees are displayed in USD and are exclusive of applicable taxes unless stated otherwise.

Refund Policy: All sales are final. We do not offer refunds except where required by applicable law or at our sole discretion. If you believe you have been charged in error, contact support@lensmagic.ai within 14 days of the charge.

Price Changes: We reserve the right to modify our pricing at any time. We will provide reasonable notice of price changes. Continued use of the Service after such changes constitutes acceptance of the new pricing.

10. SUBSCRIPTIONS

Certain features of the Service are available on a subscription basis. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting support@lensmagic.ai. Cancellation takes effect at the end of the current billing period; no partial refunds are provided.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Lensmagic Inc, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LENSMAGIC INC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LENSMAGIC INC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. IP INFRINGEMENT CLAIMS

We respect intellectual property rights and expect users to do the same. If you believe your copyrighted work has been infringed, please send a notice containing:

• A description of the copyrighted work claimed to be infringed
• The URL or location of the allegedly infringing material
• Your contact information
• A statement of good faith belief that the use is not authorised
• A statement under penalty of perjury that the information is accurate
• Your electronic or physical signature

15. TERM & TERMINATION

These Terms are effective as of the date you first access the Service and continue until terminated. We may terminate or suspend your access immediately, without prior notice, for any reason including a breach of these Terms. Upon termination, your right to use the Service ceases immediately.

Provisions that by their nature should survive termination — including ownership, disclaimer of warranties, limitation of liability, and arbitration — shall survive.

16. USERS OUTSIDE THE U.S.

The Service is operated from the United States. We make no representation that the Service is appropriate or available in other locations. If you access the Service from outside the U.S., you do so at your own risk and are responsible for compliance with local laws.

17. ARBITRATION AGREEMENT

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek emergency injunctive relief in a court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration shall be conducted in your individual capacity only and not as a class action. You waive any right to bring or participate in any class, consolidated, or representative action.

Governing Law: These Terms and any disputes shall be governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions.

18. GENERAL PROVISIONS

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lensmagic Inc regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on our website or sending an email. Continued use of the Service after changes constitutes acceptance.
